What is a Wholesale Client?

A wholesale client is an investor who meets certain criteria under s761G of the Corporations Act 2001 (Cth), allowing access to a broader range of investment opportunities that are not available to retail investors.

These criteria are designed to ensure investors have the financial capacity and experience to access a broader range of investment opportunities not typically available to retail investors.

Wholesale Client Criteria

You may qualify as a wholesale client if you meet one of the following:

  • Net assets of at least $2.5 million 

  • Gross income of at least $250,000 per year for each of the last two financial years

  • An investment of $500,000 or more in a single offer where this satisfies the wholesale client test under the Corporations Act


The $250,000 income or $2.5 million net assets thresholds are verified by a certificate from a qualified accountant.


What does “Sophisticated Investor” mean?

The term ‘sophisticated investor’ is sometimes used in financial markets, but under Australian law this falls within the broader category of ‘wholesale client’ as defined in the Corporations Act.

Access to these opportunities is provided to Wholesale clients who meet the criteria outlined above, typically supported by a certificate from a qualified accountant.
